Terms of Service

Effective date: October 1, 2026

These Terms of Service ("Terms") govern your use of Closeout (the "Service"), operated by Sluke Closeout ("we," "us," "our"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Closeout is a tool that helps restaurants calculate tip-out splits among staff based on sales, tips, and hours worked, as configured by the restaurant.

Closeout performs arithmetic based on the numbers and rules you enter. It does not verify the accuracy of the figures you input, and it does not provide legal, tax, or accounting advice. Tip-pooling regulations vary by jurisdiction. You are responsible for configuring the Service in a way that complies with the laws that apply to your business, and for reviewing its output before relying on it to pay staff.

2. Accounts and trial

3. Billing

4. Data storage

Shift and tip-out data you enter (staff names, sales, tip amounts, calculated splits, and your saved tip-out rules) is stored on our servers, tied to your account, so it's available to you from any device or browser you log into. We do not currently maintain redundant backups of this data beyond what our hosting provider's infrastructure provides by default, and as a small, early-stage service, we cannot guarantee against all possible data loss (for example, in the event of an extended outage or infrastructure failure). We recommend exporting or recording any closeout summary you need to keep permanently (for example, via the in-app copy/print feature) as a precaution, particularly for records you rely on for payroll or compliance purposes.

5. Acceptable use

You agree not to: - Use the Service for any unlawful purpose, including configuring tip-outs in a way you know violates applicable labor law. - Attempt to access another account or restaurant's data without authorization. - Interfere with or disrupt the Service's infrastructure.

6. Disclaimer of warranties

The Service is provided "as is" without warranties of any kind, express or implied. We do not guarantee the Service will be uninterrupted, error-free, or that calculations will be free from bugs. You are responsible for independently verifying any payout figures before distributing wages or tips based on them.

7. Limitation of liability

To the maximum extent permitted by law, Sluke Closeout will not be liable for any indirect, incidental, special, or consequential damages, including lost profits or lost data, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the three months preceding the claim.

8. Termination

We may suspend or terminate your access to the Service if you violate these Terms or fail to pay applicable fees. You may stop using the Service and cancel your subscription at any time.

9. Changes to these Terms

We may update these Terms from time to time. We'll post the updated version here with a new effective date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

10. Governing law

These Terms are governed by the laws of Illinois, USA, without regard to conflict-of-law principles.
